10.2 Binding Arbitration

EXCEPT FOR CLAIMS THAT QUALIFY FOR SMALL CLAIMS COURT, ANY DISPUTE, CONTROVERSY, OR CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE BREACH, TERMINATION, OR VALIDITY THEREOF, THAT CANNOT BE RESOLVED INFORMALLY, SHALL BE FINALLY AND EXCLUSIVELY SETTLED BY BINDING ARBITRATION ADMINISTERED BY A RECOGNIZED ARBITRATION PROVIDER IN THE UNITED STATES (SUCH AS THE AMERICAN ARBITRATION ASSOCIATION ("AAA")) IN ACCORDANCE WITH ITS APPLICABLE COMMERCIAL ARBITRATION RULES.

The arbitration shall take place in the United States, in a location mutually agreed upon by the parties or, if no agreement can be reached, as determined by the arbitrator. The arbitrator shall apply the substantive law applicable under these Terms. The arbitration shall be conducted in the English language. The decision of the arbitrator shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

10.3 Class Action Waiver

YOU AND JET'S PIZZA AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION OR PROCEEDING. UNLESS BOTH PARTIES EXPRESSLY AGREE OTHERWISE IN WRITING, THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT PRESIDE OVER ANY FORM OF CLASS OR REPRESENTATIVE PROCEEDING.

10.4 Exceptions

Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of that party's intellectual property rights, confidential information, or other proprietary rights.

11. Term and Termination

11.1 Term

These Terms become effective when you first access or use the Site or Services and remain in full force and effect for as long as you continue to access or use the Site or Services, unless earlier terminated in accordance with these Terms.

The invalidity or unenforceability of any provision of these Terms in any jurisdiction shall not affect the validity or enforceability of any other provision of these Terms in that jurisdiction or the validity or enforceability of that provision or any other provision in any other jurisdiction.

14.4 Force Majeure

Jet's Pizza shall not be liable to you or to any third party for any failure or delay in performance of its obligations under these Terms arising out of or caused by events beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, war, terrorism, labor disputes, governmental actions, power outages, internet service disruptions, or supply chain failures. In such events, our obligations shall be suspended for the duration of the force majeure event.

14.5 Assignment

You may not assign, transfer, or delegate any of your rights or obligations under these Terms without our prior written consent. We may freely assign, transfer, or delegate our rights and obligations under these Terms, in whole or in part, without notice to you or your consent, including in connection with a merger, acquisition, reorganization, or sale of all or substantially all of our assets. These Terms shall be binding upon and inure to the benefit of the parties and their respective permitted successors and assigns.
